Corporate Service Terms and Conditions

1. Service Details

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Atomic Digital LLC ("us," "we," or "our") concerning the use of our website, products, and services (the "Services"). Your access to, or use of, the Services confirms your irrevocable acceptance of these Terms, establishing a valid contract. Should you disagree with the provisions herein, your sole recourse is to immediately terminate all use of the Services.

2. Binding Agreement

By creating an account, subscribing to, or using any part of the Services, you enter into a binding agreement with Atomic Digital LLC with its registered office at 345 Canter Lane Holly Michigan, 48442 US (“Atomic Digital LLC”, “we”), the owner and operator of the website soundshf.com governed by these Terms and Conditions. You represent that you have the legal capacity to enter this agreement and that you will comply with all applicable laws and regulations. If you do not agree to be bound by these Terms, you should stop using the Site and the Service immediately.

3. Licensing and Resource Availability

You are granted only a limited, personal license to utilize the Services; this license does not transfer any ownership in our intellectual property (IP). All IP assets in the Services, including our software, graphics, and underlying code, belong to Atomic Digital LLC. You are strictly prohibited from copying, reproducing, or selling any part of our Services. While your user-generated content (UGC) remains in your property, you agree to grant us a license to use that UGC to provide the Service to you and other users, as further outlined below.

4. Customer Care Services

Support services are provided during regular business hours, excluding weekends and public holidays, and include reasonable assistance with technical issues related to the use of the Services. Atomic Digital LLC reserves the right to determine the form, scope, and timing of support. Support may be provided via email, phone, or other communication channels at Atomic Digital LLC’s discretion. Additional equipment or third-party services may be required to fully access certain support offerings. Atomic Digital LLC disclaims any obligation to provide onsite or emergency support unless explicitly agreed upon.

Atomic Digital LLC provides assistance to Member Users, including troubleshooting and periodic updates, Daily 8:00am to 8:00pm, US Eastern time. If you need help, you may contact our customer support team by phone at +1 (855) 789-7132 or by email at support@soundshf.com.

5. Subscription Fees and Payment

Subscription fees, billing cycles, and payment methods are communicated to you during registration and via your account dashboard. Your subscription begins as soon as you subscribe to the Service for $39.99 and will automatically renew monthly unless canceled.

By subscribing to soundshf.com, you agree to pay $39.99 now and every 30 days thereafter until you cancel. You will receive an email notification 5-7 days before each recurring payment and a receipt after each successful transaction.

In the event of failed or declined payments, Atomic Digital LLC may apply a discounted rate to keep your access active. If the discounted payment also fails, an administrative fee of up to $3.00 may be charged until payment is successfully processed.

Atomic Digital LLC is not responsible for delays or issues caused by your payment method. Any such issues should be resolved directly with your payment provider. If a payment fails due to an error on our side, please contact our customer support at support@soundshf.com.

Your soundshf.com membership will appear as soundshf.com on your statement.

6. Discontinuation of Service

You may cancel your subscription at any time by accessing your account settings, contacting customer support via email at support@soundshf.com, or by phone at +1 (855) 789-7132. Cancellation will take effect at the end of your current billing cycle, and no further charges will be applied. You will retain access to the Services until the conclusion of the paid period. No refunds will be provided for partial billing cycles, except as required by law or Atomic Digital LLC’s refund policy.

7. Refund Procedures

Refund requests will be processed promptly upon receipt of your cancellation notice or valid claim. Refunds will be issued using the original payment method within fourteen (14) days, barring unforeseen delays. Refunds will be subject to deductions for any usage fees or other charges as applicable. These policies do not limit your statutory rights as a consumer under applicable law.

8. Account Holder Responsibilities

You are responsible for using the Services lawfully, responsibly, and in compliance with these Terms. Your obligations include respecting all intellectual property rights and privacy laws and avoiding any unauthorized commercial use or redistribution of Resources. You must not circumvent technological protection measures or use unauthorized automated tools to access or extract data from the platform. It is strictly prohibited to introduce viruses, malware, or take any action that could disrupt the platform's operation, interfere with the experience of other users, or compromise security. Additionally, you may not collect personal information from others without their consent or in violation of Atomic Digital LLC's Privacy Policy. You bear the sole responsibility for maintaining the confidentiality of your account's credentials and must notify Atomic Digital LLC immediately of any unauthorized use.

9. Service Suspension and Discontinuance

Atomic Digital LLC reserves the right, at its sole discretion and without prior notice, to modify, suspend, or discontinue the Services or your access thereto, either temporarily or permanently. Reasons may include but are not limited to maintenance, security concerns, violation of Terms, or changes in licensing agreements. Suspension or termination for cause (such as breach of Terms) will result in immediate loss of access without refund. In other cases, Atomic Digital LLC may provide prorated refunds, credits, or other compensation at its discretion.

10. Intellectual Property, Content, and Branding

All content accessible via the Services, including but not limited to text, graphics, logos, audio, video, and software, is owned or licensed by Atomic Digital LLC or its licensors and is protected under copyright law. Unauthorized use, reproduction, distribution, or creation of derivative works is strictly prohibited. Third-party licensors retain all rights to their specific content and may enforce these Terms directly against users who violate their rights.

Furthermore, Atomic Digital LLC’s trademarks, logos, and service marks are proprietary and legally protected. No license or right to use any of these marks is granted unless explicitly authorized by us in writing. All other trademarks displayed on the platform belong to their respective owners.

11. Extraordinary Circumstances

Atomic Digital LLC shall not be held liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, governmental actions, terrorism, internet outages, or other events classified as Force Majeure. Performance obligations affected by such events will be suspended for the duration of the event plus a reasonable recovery period.

12. Warranty Exclusion

The Services and all associated materials are provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. Atomic Digital LLC does not guarantee that the Services will meet your expectations or be free of errors, viruses, or other harmful components. Use of the Services is at your sole risk.

13. Legal Governance and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Michigan USA. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located within Michigan USA. Nothing in these Terms affects your statutory rights as a consumer.
